By-Law, ARTICLE VI: REFERENCE MANUAL

Robert's Rules of Parliamentary Procedures will be used as the reference manual for the conduct of all meetings.

These By-Laws passed by the Shareholders on March 7, 2000 and amended on March 6, 2012 as well as amended on March 5, 2002 are a revision of the passed on March 7, 1994, March 2, 1989, and April 2, 1985 By-Laws, and replace any and all previous By-Laws.

By-Law, ARTICLE VI: RULES OF PROCEDURE

The rules of procedure at meetings of the Board and committees of the Board shall be rules contained in Roberts' Rules of Order on Parliamentary Procedure, newly revised, so far as applicable and when not inconsistent with these Bylaws, the Articles of Incorporation or any resolution of the Board.
